The MOTHERHOOD Awards are owned and sponsored by Maternity IP Holdings LP, c/o Marquee Brands, 330 West 34th Street, 15th Floor, New York, NY 10001 (“MOTHERHOOD”) and administered by EnVeritas Group, Inc., 307-B Falls Street, Greenville, SC 29601 (“Administrator”). “Awards Entities” means Sponsors, Administrator and each of their respective parents, affiliated and subsidiary companies. 

MOTHERHOOD’s determinations are final and binding for all aspects related to the Awards, including but not limited to the final winners. MOTHERHOOD will not be held responsible for any typographical or other inadvertent errors in these Terms & Conditions or in other materials relating to the MOTHERHOOD Awards, print, digital or otherwise. The Awards are subject to these Terms & Conditions except as expressed stated otherwise. No purchase necessary to enter. The Awards are subject to all applicable federal, state, and local laws and regulations. 

2. NOMINEES 

The Awards’ nominees are open only to those brands, services or products selected by MOTHERHOOD (the “Nominee(s)”). Nominees may share the official Awards’ nominee badge (“Nominee Badge(s)”) and promote their participation in the Awards as a nominee to their fans, followers and customers. Nominees may not run promotions or giveaways to encourage votes. Nominees must stop using the Nominee Badges once voting closes for the applicable Award. Use of Nominee Badges is non-transferable. 

 3. THE CONTEST LISTS 

The MOTHERHOOD team will identify Nominees in each “Contest List” at a cadence to be determined by MOTHERHOOD in its sole discretion. MOTHERHOOD will publish a finalized list of up to 20 Nominees in each Contest List. Once a Contest List has been finalized, MOTHERHOOD will publish the Contest List and open it to public voting. Voting will commence when the relevant Contest List is published and concludes 28 calendar days later at 11:59 a.m. EST (the “Voting Period”). MOTHERHOOD will announce the Awards’ winners in their respective categories within ten (10) days of the conclusion of the Voting Period. MOTHERHOOD will publish a list of winners. 

4. VOTING 

To vote in all Awards programs, voters (“Voters”) must be at least 18 years old. By voting in the Awards, Voter agrees to be bound by these Terms & Conditions. Voting for each Award will be limited to during the Voting Period for the same Award. Voters are limited to one vote per IP address and/or email address per day for each Award. No awards or prizes are awarded to voters for participation in the Awards.  

Each Nominee, any of its subsidiaries, affiliates or parent companies and each of their respective directors, officers and employees, and the spouse, parent or child of the foregoing, are not eligible to vote for the Nominee in the Awards. 

The use of any automated voting system, bot, macro, script or vote manipulation in any form is strictly prohibited. Votes linked to this behavior will be voided at MOTHERHOOD’s sole discretion. Nominees and Nominee representatives are prohibited from offering prizes, offers and/or inducements to the public to vote, including vote farming, fraudulent voting practices or inappropriate promotions that artificially inflate the Nominee’s standing in the MOTHERHOOD program. MOTHERHOOD reserves the right to disqualify any person or business, including, without limitation, any Nominee, suspected of tampering with voting or abusing aspects of this Award. 

5. WINNERS 

Award winners (“Winner(s)”) will be given the opportunity to purchase a license allowing them to use the official MOTHERHOOD Award’s badge (the “Winner Badge(s)”). The use of the Winner Badges is subject to the terms of a separate trademark license agreement between MOTHERHOOD and each winner. Use of Winner Badges is non-transferable. 

6. PARTICIPATION  

MOTHERHOOD will use reasonable endeavors to inform those Nominees selected for participation in the Awards. By participating in the Awards, Nominees and Winners agree to be bound by these Terms & Conditions and agree to irrevocably grant the Sponsor, Administrator and their respective successors, assigns and licensees, the right to use such Entrant’s, trademarks, service marks, trade names, trade dress and logos, any submitted photograph(s) and biographical information in any and all media for advertising and promotional purposes on or in connection with the Awards, and hereby releases the Sponsor from any liability with respect thereto, unless prohibited by law. 

If you do not wish to participate please contact MOTHERHOOD at awards@motherhood.com. MOTHERHOOD maintains final authority in list selection and voting and reserves the right, in its sole discretion, to remove any Nominee or Winner attempting to manipulate or abuse the promotion in any way.  

Sponsor is not responsible for lost, late, mutilated, or illegible votes nor for electronic transmission errors or delays resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of votes, or for technical, hardware, software, or telephone failures of any kind, lost or unavailable connections, fraud, incomplete, garbled, or delayed computer transmissions, whether caused by Sponsor, users, or by any of the equipment or programming associated with or utilized in the Awards or by any technical or human error which may occur in the processing of votes which may limit, restrict, or prevent a Participant’s (as defined below) ability to participate in the Awards.  

7. USE OF TRADEMARKS  

MOTHERHOOD retains ownership rights, title and interest to all MOTHERHOOD Award names and logos, including any and all MOTHERHOOD Badges. The MOTHERHOOD Badges may not be used, reproduced, published or republished in any form without prior MOTHERHOOD written permission.  

8. CANCELATION AND TERMINATION 

If for any reason any aspect of the MOTHERHOOD Awards is not capable of running as 

scheduled, including by reason of lack qualified candidates, computer virus, communications network failure, bugs, tampering, unauthorized intervention, fraud, technical failure or any cause beyond the control of MOTHERHOOD, subject to applicable laws and regulations, MOTHERHOOD may in its sole discretion cancel, terminate, modify or suspend the MOTHERHOOD Awards. 

9. PRIVACY POLICY 

Any personally identifiable information collected during Participant’s participation in the Awards will be collected by Sponsor or its agent, and will be used by Sponsor, its affiliates, agents and marketers for purposes of the proper administration and fulfillment of the Awards as described in these Terms & Conditions and in accordance with Sponsor's Privacy Policy as stated at  https://motherhood.com/pages/privacy-policy.  By participating in the Awards, each Participant agrees to the terms of the Sponsor’s Privacy Policy. 

10. LIMITATION OF LIABILITY

By participating in the Awards, you agree on behalf of yourself and your heirs, executors, and administrators (a) to release and hold harmless Awards Entities, and each of their respective current and future officers, directors, employees, agents, representatives, contractors, licensees, successors and assigns (collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from your participation in the Awards; (b) to indemnify Released Parties from any and all liability resulting or arising from your failure to comply with these Terms & Conditions; (c) to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize; and (d) to be bound by these Terms & Conditions and to waive any right to claim any ambiguity or error therein or in the Awards itself, and to be bound by all decisions of Sponsor, which are binding and final. 

To the maximum extent permitted by law, each Voter, Nominee and Winner (collectively, “Participant(s)”) covenant not to sue any Released Parties or cause them to be sued regarding any matter released above; and further covenant not to disaffirm, limit or rescind any other releases in these Terms & Conditions to the fullest extent permitted by law. A waiver by one or more of the Awards Entities of any term in these Terms & Conditions does not constitute a waiver of any other provision. If any item or provision contained in these Terms & Conditions or any part thereof is declared or becomes unenforceable, invalid or illegal for any reason, all other terms and provisions of these Terms & Conditions shall remain in full force and effect as if executed without the offending provision appearing therein.   

 11. DISPUTES  

Except where prohibited, each Participant agrees that any and all disputes, claims and causes of action arising out of or connected with this Awards shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal or state court of the State of New York and each Participant hereby submits to the exclusive jurisdiction of such courts and waives any objection it might have based upon improper venue or inconvenient forum. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms & Conditions, or the rights and obligations of the each Participant and Sponsor in connection with the Awards shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
